Terms of Service

1. Parties and Scope

These Terms of Service ("Terms") govern the purchase and use of digital products ("Skills") sold through the website skillatelier.ai ("Site"), operated by:

By completing a purchase or downloading a Skill, you ("Licensee") agree to these Terms in their entirety. If you do not agree, do not purchase or use any Skill.

These Terms apply to all purchases made directly through the Site or through our authorised payment partner, Whop (EU) Limited ("Payment Partner"), which acts as Merchant of Record for all transactions.

2. Products

Skills are digital software artefacts — structured instruction sets delivered as .md and .json files — designed for use with AI agent frameworks including but not limited to OpenClaw, Claude Desktop, Cursor, and Model Context Protocol (MCP) compatible systems.

Each Skill is delivered digitally and immediately upon confirmed payment. Delivery constitutes the provision of digital content within the meaning of §327 BGB and Directive 2011/83/EU as amended.

Skills are described on their respective product pages. Skill Atelier makes reasonable efforts to ensure descriptions are accurate and complete. Technical specifications including model compatibility, token footprint, and performance benchmarks are stated as tested values, not guarantees.

3. License Grant

Upon confirmed payment, Skill Atelier grants you a non-exclusive, non-transferable, non-sublicensable, perpetual licence to use the purchased Skill solely for your own personal or internal business purposes on a single-agent basis (one AI agent instance per licence).

"Single-agent basis" means the Skill may be installed and actively used by one AI agent configuration at any one time. Use across multiple simultaneous agent deployments requires additional licences.

This licence does not constitute a sale of the Skill or any intellectual property therein.

4. Restrictions

You may not, and may not permit any third party to:

• —Copy, reproduce, or duplicate any Skill in whole or in part except as strictly necessary for your licensed use;
• —Sell, resell, sublicense, rent, lease, lend, or otherwise transfer or make available any Skill to any third party;
• —Modify, adapt, translate, reverse engineer, decompile, disassemble, or attempt to derive the source logic, methodology, or architecture of any Skill;
• —Use any Skill to create a competing product, service, or distribution of AI agent skills;
• —Remove, alter, or obscure any copyright, trademark, or proprietary notice contained within a Skill;
• —Use any Skill for any unlawful purpose or in violation of any applicable law or regulation;
• —Use any Skill to generate, facilitate, or distribute content that is harmful, defamatory, fraudulent, or that infringes the rights of any third party.

5. Intellectual Property

All Skills, including their structure, logic, instructions, schema definitions, audit documentation, and any accompanying materials, are the exclusive intellectual property of Builderz GmbH and are protected by German and international copyright law.

These Terms do not transfer any ownership of intellectual property to you. You acquire only the limited licence rights expressly set out in Section 3.

Output ownership: Content generated by your AI agent through the execution of a Skill belongs to you, subject to the terms and conditions of the underlying AI model provider you use.

6. Right of Withdrawal — Consumer Notice

If you are a consumer within the meaning of §13 BGB (a natural person acting for purposes outside your trade, business, craft, or profession), you have the right to withdraw from your purchase within 14 days without giving reasons, commencing from the day the contract is concluded (§355 BGB).

Loss of withdrawal right upon immediate delivery: In accordance with §356 (5) BGB and Article 16(m) of Directive 2011/83/EU, you lose your right of withdrawal once performance of the digital content has begun, provided you have:

1. given your express consent to the commencement of the performance of the digital content before the withdrawal period expires; and
2. acknowledged that you thereby lose your right of withdrawal.

At checkout, you will be asked to tick a checkbox confirming both conditions before payment is processed. Ticking this checkbox constitutes your express consent under §356 (5) BGB.

B2B purchases: If you purchase in the capacity of a business (Unternehmer, §14 BGB), no right of withdrawal applies.

How to exercise your right of withdrawal (if applicable): Send a clear written statement to legal@skillatelier.ai within the 14-day period. We will confirm receipt promptly. If a valid withdrawal is exercised before delivery commences, we will refund the full purchase price within 14 days.

7. Prices and Payment

All prices are displayed in USD and are inclusive of applicable taxes where required by law. Our Payment Partner (Whop EU Limited, acting as Merchant of Record) is responsible for calculating, collecting, and remitting VAT, GST, and other applicable sales taxes in accordance with the laws of the jurisdiction of sale.

Payment is processed at the time of purchase. We accept the payment methods made available through our Payment Partner. Skill Atelier does not store your payment card details.

Prices may change at any time. Any price change will not affect purchases already completed.

8. Refund and Confidence Guarantee

Skill Atelier offers a 30-day Confidence Guarantee. If a purchased Skill does not perform in accordance with its published specifications, you may request a full refund within 30 days of purchase by contacting legal@skillatelier.ai with a description of the specification failure.

The Confidence Guarantee does not apply to:

• —Dissatisfaction not related to a published specification;
• —Incompatibility arising from your use of an AI model or framework not listed in the Skill's compatibility specifications;
• —Issues caused by your own modifications to the Skill files.

Refunds approved under the Confidence Guarantee will be processed by our Payment Partner within 5–10 business days. Upon refund, your licence is immediately revoked and you must delete all copies of the Skill.

9. Disclaimer of Warranties

Skills are provided "as is" and "as available". To the fullest extent permitted by applicable law, Skill Atelier expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Skill Atelier does not warrant that:

• —A Skill will meet your specific requirements beyond those stated in its published specifications;
• —Outputs generated by your AI agent using a Skill will be accurate, complete, lawful, or fit for any specific purpose;
• —A Skill will be compatible with future versions of AI agent frameworks.

You are solely responsible for evaluating the suitability of any Skill for your use case and for the outputs generated by your agents.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Builderz GmbH's total aggregate liability to you for any claim arising out of or related to these Terms or any Skill — whether in contract, tort (including negligence), or otherwise — shall not exceed the amount you paid for the Skill giving rise to the claim.

In no event shall Builderz GmbH be liable for any:

• —Loss of profits, revenue, data, goodwill, or anticipated savings;
• —Indirect, incidental, special, consequential, or punitive damages;
• —Damage or liability arising from outputs generated by an AI agent using a Skill;
• —Third-party claims arising from your use of a Skill or agent-generated outputs.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

11. Data Protection

The collection and processing of personal data in connection with your purchase and use of the Site is governed by our Privacy Policy, which forms an integral part of these Terms and complies with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and applicable German data protection law (BDSG).

Purchase transactions are processed by our Payment Partner. Please refer to Whop's privacy policy for information about their data processing practices.

12. Term and Termination

Your licence commences upon delivery of the Skill and continues in perpetuity unless terminated in accordance with these Terms.

Skill Atelier may terminate your licence immediately upon written notice if you materially breach these Terms and (where the breach is capable of remedy) fail to remedy it within 14 days of notice.

Upon termination for breach: (a) all rights granted to you immediately cease; (b) you must promptly delete all copies of the affected Skill; (c) no refund will be due for terminated licences where termination is caused by your breach.

Sections 4, 5, 9, 10, 13, and 14 survive termination.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law provisions and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

For disputes with business customers (B2B), the exclusive place of jurisdiction is the registered seat of Builderz GmbH.

For disputes with consumers, the mandatory consumer protection provisions of the consumer's country of habitual residence apply in addition to German law where such provisions cannot be derogated from by contract.

14. Consumer Arbitration

Skill Atelier is not obligated to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) and does not voluntarily submit to such proceedings.

Consumers in the EU may contact the European Consumer Centre Germany (Europäisches Verbraucherzentrum Deutschland, www.evz.de) for assistance with cross-border disputes.

15. Changes to These Terms

Skill Atelier reserves the right to update these Terms at any time. Material changes will be announced via the Site with at least 30 days' notice before taking effect. Your continued use of purchased Skills after the effective date constitutes acceptance of the updated Terms.

Changes will never affect licences already granted under prior Terms unless required by mandatory law.

16. Miscellaneous

Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.

No waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of the right to enforce it in the future.

Entire agreement: These Terms, together with the Privacy Policy and the product page description at the time of purchase, constitute the entire agreement between you and Skill Atelier with respect to the purchased Skill.

Assignment: You may not assign or transfer any rights or obligations under these Terms without prior written consent. Skill Atelier may assign its rights and obligations to an affiliate or successor without restriction.
