End User License Agreement

End User License Agreement (EULA) for Skill Files sold by Builderz GmbH via skillatelier.ai

IMPORTANT: This License Agreement governs your use of the purchased Skill Files after download. It is separate from the General Terms and Conditions (AGB), which govern the purchase transaction. By purchasing and downloading the Skill Files, you agree to be bound by both the AGB and this EULA.

§1 Definitions

"Seller" means Builderz GmbH, Schlederloh 12, 82057 Icking, Germany.

"Buyer" means the individual or legal entity that purchases a license to use the Skill Files.

"Skill Files" means the structured AI agent instruction files in .md and .json format, including all accompanying documentation, examples, and metadata delivered as part of the purchased product.

"Licensed File(s)" refers to the specific Skill File(s) covered by this license as identified by the purchase confirmation.

"LLM" means any large language model or AI system with which the Skill Files may be used.

"Output" means any content, text, data, or other material generated by an LLM in connection with the use of the Skill Files.

§2 Intellectual Property — Dual-Framework Protection

(1) Copyright Protection: To the extent that the Licensed Files constitute personal intellectual creations within the meaning of §2(1) No. 1 and §2(2) UrhG (Urheberrechtsgesetz), including through their selection, arrangement, creative expression, original examples, and distinctive structure, the Seller asserts copyright in the Licensed Files. The copyright extends to the files individually and, under §4(1) UrhG, to the collection as a curated work.

(2) Database Rights: To the extent the Licensed Files form part of a database in which the Seller has made substantial investment in obtaining, verifying, or presenting the contents, the Seller asserts sui generis database rights under §§87a–87e UrhG, with a protection period of 15 years.

(3) Contractual Restrictions: Additionally, and independently of any copyright or database right protection, the Buyer agrees to the following contractual usage restrictions under §280 BGB. These restrictions apply regardless of the copyright status of the Licensed Files.

IMPORTANT: The contractual restrictions in this EULA are binding on the Buyer by virtue of the purchase contract, irrespective of whether any court determines that the Licensed Files meet the threshold of originality (Schöpfungshöhe) for copyright protection.

§3 License Grant

(1) License Tier: Single Agent License (Perpetual)

Upon payment of the purchase price, the Seller grants the Buyer a non-exclusive, non-transferable, perpetual license to use the Licensed Files, subject to the following terms:

(2) This license does not constitute a transfer of ownership or any intellectual property rights in the Licensed Files.

§4 Prohibited Uses

The Buyer shall NOT, directly or indirectly:

(a) Redistribute, share, publish, upload, or otherwise make the Licensed Files available to any third party, whether for free or for compensation, in original or modified form;

(b) Resell, sublicense, rent, lease, or lend the Licensed Files;

(c) Include the Licensed Files, in whole or in part, in any product, service, or collection offered to third parties;

(d) Use the Licensed Files to create derivative works intended for distribution or sale that compete with or substitute for the Licensed Files;

(e) Use the Licensed Files to train, fine-tune, distill, or otherwise improve any AI model, machine learning system, or competing product;

(f) Remove, alter, or obscure any proprietary notices, watermarks, or unique identifiers embedded in the Licensed Files;

(g) Reverse-engineer the structure or methodology of the Licensed Files for the purpose of creating competing products;

(h) Exceed the scope of the purchased license tier (e.g., using a Single Agent license across a team or organization);

(i) Transfer this license or the Licensed Files to any third party without the Seller's prior written consent.

§5 Output Ownership

(1) Outputs generated by the Buyer's use of the Licensed Files in connection with third-party LLMs are owned by the Buyer, subject to the applicable terms of the respective LLM platform.

(2) Ownership of Outputs does not convey any ownership interest, license, or right in the Licensed Files themselves.

(3) The Seller is not liable for the content, accuracy, legality, or intellectual property status of any Outputs. The Buyer is solely responsible for reviewing, verifying, and lawfully using any Outputs.

§6 Buyer Fingerprinting

Each copy of the Licensed Files sold may contain unique identifiers specific to the Buyer's purchase. These identifiers enable the Seller to trace unauthorized redistribution to the originating purchase. Removal or alteration of these identifiers constitutes a breach of this EULA.

§7 Contractual Penalty (Vertragsstrafe)

(1) In the event of a breach of §4 (Prohibited Uses) or §6 (Buyer Fingerprinting), the Buyer shall pay a contractual penalty (Vertragsstrafe) to the Seller for each instance of breach.

(2) The amount of the contractual penalty is [TO BE DETERMINED BY ATTORNEY — typical range for comparable digital products: €2,500–10,000 per instance].

(3) The assertion of the contractual penalty does not preclude the Seller from claiming further damages exceeding the penalty amount.

(4) For consumers, the contractual penalty is subject to judicial review for reasonableness per §343 BGB.

ATTORNEY REVIEW REQUIRED: The specific penalty amount must be set by legal counsel to be enforceable. An unreasonably high amount may be reduced by a court (for consumers) or challenged (for entrepreneurs).

§8 Warranty Regarding Licensed Files

Warranty for the Licensed Files is governed by the AGB (§6 thereof) in accordance with §§327–327u BGB. This EULA does not create any additional warranty obligations or limitations beyond those in the AGB.

§9 Term and Termination

(1) This license is perpetual, subject to the Buyer's compliance with this EULA.

(2) The Seller may terminate this license with immediate effect if the Buyer materially breaches any provision of this EULA, in particular the restrictions in §4 or §6.

(3) Upon termination: (a) All rights granted under this EULA cease immediately; (b) The Buyer must permanently delete all copies of the Licensed Files in their possession or control; (c) The Buyer must confirm deletion in writing upon request; (d) Outputs already generated prior to termination are not affected.

(4) Termination does not affect the Seller's right to claim damages or contractual penalties for breaches occurring before termination.

§10 Governing Law

This EULA is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers in the EU, mandatory consumer protection provisions of their habitual residence apply to the extent they provide more favorable protection (Art. 6(2) Rome I).

§11 Severability

Should any provision of this EULA be or become invalid, the remaining provisions remain in full force. The invalid provision shall be replaced by the applicable statutory provisions.
